Terms & conditions
The rules for using this website and for working with us on a project.
Last updated:
These terms and conditions (“Terms”) apply to your use of the website oseie.com (the “Website”) and to any services provided by Oseie (“Oseie”, “we”, “us” or “our”) to you (“you” or the “Client”). By using the Website or engaging our services, you agree to these Terms. If you do not agree, please do not use the Website or our services.
1. Our services
Oseie provides web development, UX and UI design, search engine optimisation (SEO), mobile app development and related digital services (the “Services”). The exact scope, deliverables, timeline and price of each project are set out in a written proposal, quote or agreement sent by email (the “Proposal”).
If anything in a Proposal conflicts with these Terms, the Proposal takes priority for that project.
2. Quotes and acceptance
Quotes are valid for 30 days from the date they are sent unless stated otherwise. A project starts once you accept the Proposal in writing (email is enough) and, where applicable, the initial payment has been received.
Work requested outside the agreed scope is treated as additional work. We will tell you before starting it and confirm the extra cost and time in writing.
3. Your responsibilities
To keep a project on schedule, you agree to:
- provide content, information, feedback and approvals within a reasonable time;
- give us the access we need to hosting, domains, app store accounts, analytics and other third-party services;
- make sure that any content, images, logos or other material you provide is yours to use, or that you have permission to use it, and that it does not infringe anyone else’s rights or break any law;
- review deliverables carefully before approving them.
Delays caused by missing content, feedback or access may move the project timeline. If a project is paused by the Client for more than 60 days, we may treat it as cancelled and invoice the work completed so far.
4. Fees and payment
Prices, payment schedule and accepted payment methods are stated in each Proposal. Unless agreed otherwise:
- projects require a deposit before work begins, with the balance due at agreed milestones or on completion;
- invoices are due within 14 days of the invoice date;
- recurring services (such as maintenance, hosting management or monthly SEO) are billed in advance for each period.
We may pause work or withhold the delivery of final files until overdue invoices are paid. Costs for third-party products and services — such as domain names, hosting, premium plugins, licences, fonts, stock media, app store developer accounts or advertising spend — are your responsibility unless the Proposal says otherwise.
Refunds are covered by our Refund policy.
5. Revisions and approval
Each Proposal states the number of revision rounds included. Additional revisions, or changes to work that has already been approved, may be billed as additional work.
When you approve a deliverable, or put it into use (for example by publishing a website or releasing an app), it is considered accepted.
6. Intellectual property
Once all fees for a project have been paid in full, you own the final deliverables created specifically for you, including designs, custom code and content written for the project.
The following remain the property of their respective owners and are licensed, not transferred:
- third-party software, frameworks, plugins, fonts, icons and stock media, which remain subject to their own licences;
- general tools, code libraries, templates and know-how we have developed independently and reuse across projects. You receive a permanent, non-exclusive licence to use them as part of your deliverables.
Unless you ask us not to in writing, we may show the finished work in our portfolio and mention you as a client. We will never share confidential information when doing so.
7. Confidentiality
We keep confidential any non-public information you share with us during a project, and we only use it to deliver the Services. This does not apply to information that is already public, that we received lawfully from someone else, or that we are required by law to disclose.
8. Third-party services
Websites and apps often rely on third-party services such as hosting providers, app stores, payment providers, search engines and plugins. We are not responsible for their availability, policies, pricing changes, rejections or decisions — including app store review outcomes and search engine ranking changes.
9. No guaranteed results
We work hard to make every project successful, but we cannot guarantee specific outcomes such as search rankings, traffic, app downloads, conversions or revenue. Search engines, app stores and markets are controlled by third parties and change constantly. Any forecasts or estimates we give are our honest opinion, not a promise.
10. Warranty and support
We fix bugs in our own work that are reported within 30 days of launch or delivery, at no extra cost, provided the work has not been changed by anyone else. Support after this period, updates for new software versions and new features are available as separate or recurring services.
You are responsible for keeping backups of your own content and data unless backups are part of an agreed maintenance service.
11. Limitation of liability
To the maximum extent permitted by law:
- the Services and the Website are provided “as is”, without warranties of any kind beyond those set out in these Terms;
- we are not liable for any indirect or consequential loss, including loss of profit, revenue, data, business or goodwill;
- our total liability for any claim relating to a project is limited to the amount you paid us for that project in the 12 months before the claim.
Nothing in these Terms limits liability that cannot be limited by law.
12. Cancellation and termination
Either party may end a project by written notice if the other party seriously breaches these Terms and does not fix the breach within 14 days of being asked to. You may also cancel a project at any time by email; in that case, you pay for the work completed up to the cancellation date, as described in our Refund policy.
Recurring services can be cancelled at any time and stop at the end of the current billing period.
13. Using this Website
You may browse the Website and share links to its pages. You may not copy, republish or sell its content, designs or code without our written permission, or use the Website in any way that is unlawful or could damage it or interfere with other visitors.
Articles on our blog are general information, not professional advice for your specific situation. Platform rules, prices and features mentioned in articles can change after publication.
The Website may link to other websites. We do not control them and are not responsible for their content.
14. Privacy
How we handle personal data is explained in our Privacy policy.
15. Changes to these Terms
We may update these Terms from time to time. The “Last updated” date at the top of this page shows when they last changed. Projects already under way continue under the Terms that applied when the Proposal was accepted, unless both parties agree otherwise.
16. General
If any part of these Terms is found to be invalid or unenforceable, the rest remains in effect. Not enforcing a right straight away does not mean we have given it up. These Terms, together with any Proposal, are the entire agreement between you and us about the Services.
